EUROPEAN SPEARFISHING RECORDS ASSOCIATION

ARTICLE 1 - NAME

It is founded with the present statutes an association governed by the french law of 1 July 1901 and the Decree of 16 August 1901, entitled European Spearfishing Records Association (ESRA)


ARTICLE 2 - PURPOSE

The mission of the European Spearfishing Records Association (ESRA) is to promote ethical, safe and sporting spearfishing practices, to establish uniform regulations for the compilation of european gamefish records.

ARTICLE 3 - HEAD OFFICE

The head office is located at Maison des Associations, 33470 Gujan-Mestras, France

The registered office may be transferred by decision of the Board of Directors;


Article 4 - DURATION

The duration of the association is unlimited.


ARTICLE 5 - COMPOSITION

The association consists of:

President
Secretary
Executive Committee
Scientific Committee
Records Committee / Jury

All members name as well as their functions are published and available for consultation on the web site of the association.

The association consists of :

a) Honorary Members
b) Active Members
c) Supporting Members

Honorary members are the founding members and those who have rendered outstanding services to the association; they are exempt from contributions.

Active members are those who have committed to participate in the work of the association, including at the records records analysis; they are exempt from contributions.
Are benefactors, individuals or institutions that pay a fee of 1000Euros input and an annual fee of 300Euros, set each year by the General Assembly.


ARTICLE 6 - ADMISSION

The association is open to all, without condition or distinction.
To join the association, it must be approved by the Board of Directors, which decides on applications for admission.
Executive directors pronounces at request of admission after consultation of all the members.
The decision of admission will be taken according to the interest which the person can bring in ESRA activities and mission.
All members receives a copy of ESRA Statues and Rules, which they will have to sign and return to the secretary.
All members must accept ESRA Statutes and Rules, as well as ESRA organization, communications, members and decisions.


ARTICLE 7 - RESIGNATION

The resignation of a member must be sent to the President and the members don’t have to explain it reasons.


ARTICLE 8 - MEMBERS

Members must know ESRA Rules and Statutes and be capable of helping and of explaining to a candidate for a record all the necessary steps necessary for a Record procedure.

The members have to be involved in ESRA activities in their country and their region and, if need, be capable to officially represent the association.

Members have to participate as much as possible in ESRA activities, specially in the examination and the decision of validation of application files for a record.

In case of impossibility of participation in ESRA activities during a period equal or superior of 6 months, the members must confirm his membership status.


ARTICLE 9 - RADIATION

The membership is lost by:
a) Resignation;
b) Death;
c) Expulsion

Any aggressive act, lack of respect, behavior or tactless communication or striking a blow at the association can give rise to the radiation of the member.

The exclusion from a member can be pronounced for grave motive.

Grave motives are in particular considered for establishing:

a) The non-participation in the activities of the association,
b) Any action likely to harm, directly or indirectly, the activities
of the association or its reputation,
c) A behavior not in compliance with the ethics and with the values of the association.

In case of exclusion, the ember will be invited to present its defense and the decision will be only taken after the member audition.


ARTICLE 10 - AFFILIATION

This association can join other associations, unions or groups by decision of the Board of Directors.


ARTICLE 11 - DECISIONS

The decisions must be taken as often as possible unanimously. In the cases where it would be necessary to decide with majority, the President will benefit from a quality of vote corresponding to two voices, so allowing the decision in case of equality of vote.


ARTICLE 12 - CONFIDENTIALITY

Any information exchange, opinions, comments or, any correspondence between the members in the sphere of the activity of the association is strictly confidential.

Any sharing of confidential information outside the association and outside his members is considered as a grave fault and can establish a motive for exclusion.


ARTICLE 13 - RESOURCES

The resources of the association include:
1. The amount of import duties and contributions;
2. The state subsidies, departments and municipalities.
3. All resources authorized by the laws and regulations.

ARTICLE 14 - ORDINARY GENERAL ASSEMBLY

The ordinary general meeting includes all members of all category.

It meets annually in January

At least fifteen days before the fixed date, the members are convened by the secretary. The agenda is on the summons.
The President, assisted by members of the Board, presided and exposes the moral situation or activity of the association.
The Treasurer reports his management and submits the annual accounts (balance sheet, income statement and notes) for the approval of the assembly.
The General Assembly sets the amount of annual contributions and the entry fee to be paid by the various categories of members.

Can be addressed as the items on the agenda.

Decisions are taken by a majority vote of the members present or represented

All decisions are taken by a show of hands, except the election of board members.

The decisions of the General Assembly are binding on all members, including absent or represented.


ARTICLE 15 - EXTRAORDINARY GENERAL ASSEMBLY

If necessary, or on the request of half plus one of the registered members, the President may convene an extraordinary general meeting, in the manner provided for in this Statutes and only to amend the Statutes, dissolution or for acts of immovable property.

The convocation procedures are the same as for the ordinary General Assembly.

Decisions are taken by a majority of the members present or represented


ARTICLE 16 - BOARD OF DIRECTORS

The association is governed by a board of two members, elected for five years by the general meeting. Members may be reappointed.

In case of vacancy, the Board provides temporary replacement of its members. He proceeded to their final replacement by the next general meeting. The powers of the members so elected shall expire at the end the mandate of the members replaced.

The Board meets at least once every six months, convened by the President, or at the request of a quarter of its members.
Decisions are taken by majority vote; in the event of a tie, the chairman has a casting vote.


ARTICLE 17 - OFFICE

The Board of Directors shall elect a board consisting of:

1) A President
2) A secretary
3) A treasurer

If need be, the secretary can accumulate the functions also by being a treasurer of the association.


ARTICLE 18 - ALLOWANCES

All functions, including those of members of the Board of Directors and the office are free and voluntary. Only expenses incurred in the performance of their duties shall be reimbursed against receipts. The financial report presented to the Annual General Assembly has, for profit, return of mission, travel or representation.


ARTICLE - 19 - RULES

An internal regulation can be established by the Board of Directors, which is then approved by the General Assembly.

The Rules are intended to fix the various points not covered by these statutes, including those relating to the internal administration of the association.


ARTICLE - 20 - DISSOLUTION

In case of dissolution pronounced as provided in Article 12, one or more liquidators are appointed, and the assets, if any, shall vest in accordance with decisions of the extraordinary General Assembly to approve the dissolution.
